Auto components major Sona BLW Precision Forgings on July 25 proceeded with its AGM, despite Rani Kapur, mother of late industrialist Sunjay Kapur, seeking postponement of the meeting. She alleged that she was 'coerced' into signing documents behind locked doors, and that some people were trying to usurp Kapur family's legacy.
Rani Kapur, former chairperson of the Sona group and wife of former Chairman Surinder Kapur, in a letter dated July 24 to the board of Sona BLW, alleged that while the family is in the mourning due to the sudden passing away of Sunjay last month, some people have chosen this an opportune time to wrest control and usurp the family legacy.
Sunjay Kapur passed away at 53 on June 12 after suffering a heart attack in the UK while he was playing polo. In a letter to the board of Sona BLW, Rani Kapur called her son's untimely death as 'highly suspicious'.
In her letter, Rani Kapur mentioned that a resolution to nominate a director as the representative of the Kapur family is set to be taken up at the AGM. "I am fully convinced that the documents which were executed by me under coercion and duress, post the demise of my son, at a time of mental and emotional vulnerability are being misused," she wrote.
"For the record, I state that I have not given any consent or officially nominated any person to come on the Board of the Company or any other Sona Group Company after my son’s demise or given any consent to any person to represent me in any capacity before the Company and or any other Sona Group Company," she added.
She alleged that while the family was still in mourning, some people took it as an opportune time to wrest control and usurp the family legacy.
While she didn’t take any names, some news reports suggest that Rani was referring to Sunjay Kapur's wife Priya Sachdev Kapur, who took over as a non-executive director at the company after her husband’s demise.
"I reiterate, no one has the right currently, unless nominated by me to represent the Sona groups interest in the Company. Highly unsettling facts are coming to light and for the sake of the Company and the family it is imperative that no decisions are taken tomorrow," Rani Kapur added.
However, according to industry sources cited by PTI, the company's AGM was held as per the schedule on Friday.
According to the company's AGM notice, among other resolutions is an ordinary resolution of appointment of Priya Sachdev Kapur, wife of late Sunjay Kapur, as a Non-Executive Director of the company. She was appointed as an Additional Director in the capacity of Non-Executive Director with effect from June 23, 2025.
Terming the death of her son in the UK last month in a "highly suspicious and unexplained circumstances", she noted that she has not given any consent or officially nominated any person to be on the board of Sona Comstar.
In her letter, Kapur stated that in case the company continues to hold its AGM despite her plea, she would be forced to assume that it was the conscious decision taken by the management to negatively impact the company and the family.
"If however, your esteemed selves choose to ignore this mail and move forward tomorrow without conferring with me and discussing threadbare the details of what has unfolded, I would be left with no other option but to assume that it was a conscious decision taken by you to the detriment of the company and the family as you have chosen to be part of the illegalities which are unfolding every day," she said.
