The Board of Directors of Redtape Limited approved the alteration of the object clause of the Memorandum of Association (MOA) during its meeting on Thursday, August 28, 2025. The decision is subject to shareholder approval at the upcoming Annual General Meeting. Additionally, the board authorized key managerial personnel (KMPs) for determining materiality of events and disclosures to stock exchanges.
The board has decided to expand the company's business activities by adding Sub-clause 5 to the main Object of Clause (III)(A) of the MOA. This expansion includes carrying on business either on its own or through franchisee agreements, licensees, agents, stockists, resellers, distributors, or contractors. The activities cover purchasing, selling, distributing, trading, acting as an agent, franchising, collaborating, exporting, warehousing, importing, merchandising, manufacturing, designing, and packaging.
The business also involves providing a platform, technology, and services to facilitate transactions, commerce, electronic commerce, and other types of commerce between businesses. This includes all kinds of products, goods, commodities, general merchandise, electronics, accessories, and relating to, which includes but is not limited to, beauty, fitness, personal health care, skin care, hair care, diet-related products, home remedies, homeopathy, ayurvedic, herbal and alternative medical treatments, wellness products, and equipment for both men and women. These products will be available on the company's online portals or websites, as well as through e-commerce, m-commerce, internet, intranet, stores, stalls, or kiosks set up across India or abroad.
The Board of Directors has authorized the following Key Managerial Personnel (KMPs) for determining the materiality of events and for making disclosures to the Stock Exchanges:
