The board of HDFC Bank has fixed the record date to identify shareholders who will be entitled to receive the dividend for FY25. The final dividend amount, which is yet to be announced, will be formally proposed and put to a vote for approval by the members during the AGM.
Shareholders whose names are recorded in the Register of Members of the bank or as beneficial owners in the records of the depositories as of the close of business hours on June 27, 2025, will be eligible for the dividend payment, if it is declared at the AGM.
The bank will hold its AGM through a virtual platform, in compliance with the applicable provisions of the Companies Act, 2013, and circulars issued by the Ministry of Corporate Affairs. The link for accessing the video conference facility will be made available on the bank's website.
Information for Shareholders
HDFC Bank has informed its shareholders that it will be required to deduct Tax at Source (TDS) on the dividend payment at the prescribed rates for both resident and non-resident members. To avail of any exemption or a lower rate of TDS, shareholders must furnish the necessary documents to the bank's Registrar and Share Transfer Agent (RTA), Datamatics Business Solutions Limited.
The deadline for submitting these documents is July 2, 2025. The bank has provided a dedicated portal for this purpose.
Shareholders who hold shares in physical form and have not yet registered their bank account details for electronic credit of dividends are requested to do so by submitting the duly filled Form ISR-1 to Datamatics. This form can also be used to update other personal details like email address and KYC information. Shareholders holding shares in dematerialized form should contact their respective Depository Participants (DPs) to update their details.
The Integrated Annual Report for the financial year 2024-25, along with the notice convening the AGM, will be sent electronically to shareholders with registered email addresses. The documents will also be available for download from the websites of HDFC Bank, BSE, NSE, and the NSDL e-voting platform.
