The Board of Directors of Crompton Greaves Consumer Electricals Limited has appointed Sundaram Damodarannair as a Non-Executive Non-Independent Director, effective September 18, 2025. This decision was made based on the recommendations of the Nomination & Remuneration Committee.
Sundaram's appointment follows his previous tenure as an Independent Director, which concluded on September 17, 2025. The board is leveraging his extensive experience and industry knowledge by appointing him as a Non-Executive Non-Independent Director.
Sundaram, aged 72, has had a distinguished career, including roles at Hindustan Unilever Limited (HUL) and various board memberships. He currently serves on the boards of Infosys Limited, Zurich Kotak General Insurance Company (India) Limited, and Credila Financial Services Limited.
Sundaram’s term will extend until he reaches the age of 75 on April 15, 2028, in accordance with the company’s Nomination & Remuneration Policy. The Board has determined that his continued presence will provide strategic counsel and mentorship.
The Board has also confirmed that Sundaram will be entitled to receive sitting fees for attending meetings of the Board and its committees, as well as commission within the limits prescribed under the Act.
The company has confirmed that this appointment ensures compliance with corporate governance standards, maintaining a majority of Independent Directors on the Board.
Ashwini Inamdar of Mehta & Mehta, Practicing Company Secretaries, has been appointed as the Scrutinizer for the postal ballot process to ensure fair and transparent proceedings.
The resolution for Sundaram's appointment will be passed via postal ballot, with the e-voting period commencing on September 20, 2025, and ending on October 19, 2025. The results will be announced on or before October 21, 2025.
The Board recommends the resolution for approval, recognizing Sundaram's significant contributions and strategic value to the company.
