The transaction involves the transfer of shares from Manekchand Panachand Trading Investment Co Pvt Ltd to Mr. Asit Dhankumar Javeri and Mr. Abhishek Asit Javeri. The proposed date of acquisition is September 11, 2025.
As per the disclosure, 4,38,88,500 equity shares, constituting 26.6469% of the equity share capital, are proposed to be acquired by Mr. Asit Dhankumar Javeri, and an equal number of shares by Mr. Abhishek Asit Javeri. This acquisition is structured as an off-market purchase from Manekchand Panachand Trading Investment Co Pvt Ltd at ₹6.17 per equity share.
The transaction, being an inter-se transfer among the promoter group, falls within the exemptions provided under Regulation 10(1)(a)(ii) of the SEBI (SAST) Regulations, 2011. Consequently, the equity shareholding of Mr. Asit Dhankumar Javeri will be 4,85,90,726 shares (14.7507%), and that of Mr. Abhishek Asit Javeri will be 4,66,32,262 shares (14.1562%). The shareholding of Manekchand Panachand Trading Investment Co Pvt Ltd will be reduced to 1,021 equity shares (0.0003%).
The aggregate holding of the Promoter and Promoter Group will remain the same before and after this inter-se transaction.

The acquirers, Mr. Asit Dhankumar Javeri and Mr. Abhishek Asit Javeri, are part of the promoter group of Sadhana Nitro Chem Limited. Manekchand Panachand Trading Investment Co Pvt Ltd is the transferor in this transaction.
The company has also affirmed that all conditions specified under Regulation 10(1)(a) with respect to exemptions have been duly complied with.
The aggregate holding of the Promoter and Promoter Group will remain the same before and after this inter-se transaction.
