The Board of Directors of HMA Agro Industries Ltd. has approved a final dividend of ₹0.30 per equity share (30%) for the financial year 2024-25.
In a meeting held on August 04, 2025, the board also approved the annual report for FY25 and fixed Friday, August 22, 2025, as the record date for determining shareholders' eligibility for the dividend, subject to approval at the upcoming Annual General Meeting (AGM).
The board also approved the notice for convening the 17th AGM of the company for the financial year ended March 31, 2025. The AGM is scheduled for Friday, August 29, 2025, at 03:30 P.M. and will be conducted through Video Conferencing/Other Audio Visual Means (VC/OAVM). Friday, August 22, 2025, has been fixed as the Record Date/Cut-off Date for determining the eligibility of shareholders to participate in remote e-voting.
Additionally, the board approved the appointment of M/s R.C. Sharma & Associates, Practicing Company Secretaries, as the Secretarial Auditor of the company for a term of five consecutive financial years, commencing from FY 2025-26.
The board reviewed and approved material related party transactions proposed to be entered into by the company during the financial year 2025-26, in compliance with Regulation 23(4) of the SEBI (LODR) Regulations, 2015 and the company's RPT Policy, subject to shareholders' approval at the AGM.
Ms. Bhawna Jain has been appointed as a Non-Executive Independent Director for a term of five consecutive years, subject to the approval of shareholders at the ensuing AGM.
M/s R.C. Sharma & Associates, Practicing Company Secretaries, have been appointed as Scrutinizer to oversee and scrutinize the remote e-voting process and voting at the AGM, and to submit the consolidated voting results in accordance with applicable laws.
