Cupid Limited has announced that the 32nd Annual General Meeting (AGM) of the shareholders is scheduled to be held on Friday, September 26, 2025, at 12:30 PM through Video Conferencing (VC) / Other Audio Visual Means (OAVM).
The meeting will address key items such as the adoption of audited standalone and consolidated financial statements for the financial year ended March 31, 2025, along with the reports of the Board of Directors and the Auditors. Shareholders will also consider the re-appointment of Mr. Ajay Kumar Halwasiya, who retires by rotation and is eligible for re-appointment.
The meeting will include a special resolution to ratify the remuneration payable to Cost Auditors for the financial year 2025-26. The proposed remuneration is up to ₹1.50 Lakh, plus applicable taxes and reimbursement of expenses.
The board will also seek approval for the appointment of M/s. SKJP & Associates, Practicing Company Secretaries, as Secretarial Auditors of the Company for a term of five consecutive years, starting from the conclusion of the 32nd Annual General Meeting until the conclusion of the 37th AGM in 2030.
The notice of the AGM and the Annual Report for the financial year ended March 31, 2025, will be sent electronically to members whose email addresses are registered with the Company/Depository Participants (DPs). The documents will also be available on the company's website and on the websites of BSE Limited and the National Stock Exchange of India Limited.
To facilitate participation, the company is providing remote e-voting facilities. The voting period begins on September 23, 2025, at 9:00 a.m. and ends on September 25, 2025, at 5:00 p.m. Members can cast their votes electronically during this period. The results will be declared and placed on the company's website and communicated to the stock exchanges.
The meeting will be conducted through VC/OAVM, and the Registered Office of the Company will be deemed the venue for the AGM. Members attending through VC/OAVM will be counted for the purpose of ascertaining the quorum.
Mr. Aditya Kumar Halwasiya, Chairman and Managing Director, and Mr. Saurabh V. Karmase, Company Secretary, are authorized to handle all necessary actions and documentation to ensure the smooth execution of the resolutions.
The company has also provided detailed instructions for e-voting and joining the virtual meeting, including specific guidance for individual shareholders holding securities in demat mode with CDSL or NSDL, as well as for physical shareholders and non-individual shareholders.
Cupid Limited has emphasized that members should update their mobile number and email ID in their demat accounts to access the e-Voting facility. For those unable to retrieve their User ID/Password, options are available on the e-voting website to recover these credentials.
