Cognition finalizes acquisition of Windsurf

Artificial intelligence company Cognition Labs announced on Monday that it has signed a definitive agreement to acquire AI coding assistant Windsurf. In a post on X (formerly known as Twitter) Cognition Labs shared that the acquisition includes Windsurf’s complete intellectual property portfolio, product lineup, trademark assets, and established business operations.

The integration plan potentially outlines a collaborative development environment between Cognition's Devin technology and Windsurf's IDE platform. Jeff Wang, CEO of Windsurf, and Scott Wu, CEO of Cognition, said in the announcement video that the partnership will aim to enable developers to plan tasks within an IDE environment while utilizing Devin's codebase analysis capabilities. Wang said that the  combined system will allow users to distribute work across multiple AI agents simultaneously while maintaining the ability to handle specialized tasks manually through autocomplete features.

Along with it, Cognition announced the acquisition would include Windsurf’s workforce as well, adding that the deal is structured in a manner that "100% of Windsurf employees will participate financially". They will also have all vesting cliffs waived and will receive fully accelerated vesting for their work to date, it added.

The acquisition brings together two complementary technologies in the software development space — with Cognition having built its reputation developing autonomous coding agents, while Windsurf has specialized in creating agentic integrated development environments (IDEs).

Sharing further details, the duo said that the deal structure eliminates existing vesting cliffs and provides accelerated vesting for current staff members, recognizing their contributions to building Windsurf's business foundation.

Cognition has signed a definitive agreement to acquire Windsurf.
