Company History - Namtech Electronic Devices
YEAR                       EVENTS
 1984 - The company was incorporated on 9th October as Namtech  Tai
        Electronics Private Limited and changed its name to Namtech
        Electronic Devices Private Limited on 21st April 1989.  The
        Company promoted by K.P.P. Nambiar and associates was
 converted
        into a public limited company on 10th July 1991.
 
      - The Company undertook to set up a strategic project for the
        manufacture of fuel safe gas discharge tubes and modules,
 which
        are substitution items, at Electronics city within the
 village
        limits of Konappanna Agrahara Village, Begur Hobli, Bangalore
        district.
 
      - The Company entered into an agreement with M/s. Citel S.A.,
        France for technology transfer with reference to design and
        manufacture of a wide range of non-radioactive g.d. tubes and
        modules.  The collaborators are to participate to the extent
 of
        10% in the equity capital of the Company and are to buy back
 25%
        of the production every year for a period of 5 years.
 
 1991 - 10,84,600 shares allotted at par (including 3,30,000 shares
 to
        SBI Mutual Fund, 2,25,000 shares to Tata Industries, Ltd.,
        1,10,000 shares to Fairgrowth Financial Services, Ltd. and
        1,12,500 shares to NRIs on non-repatriation basis). 
 34,65,400
        shares then issued at par of which 5,40,000 shares were
 reserved
        and allotted on firm basis to Indian resident, directors,
 etc.
        (includintg 2,25,000 shares to Tata Industries, Ltd. and its
        associates).  In addition, other shares reserved and allotted
        were:
 
      - (i) 10,000 shares to NRIs on non-repatriation basis.
 
      - (ii) 4,55,000 shares to M/s. Citel S.A. France;
 
      - (iii) 1,10,000 shares to SBI Mutual Fund;
 
      - (iv) 2,27,500 shares to employees, etc. (only 1,46,000 shares
        taken up) and 2,27,500 shares were offered to the public in
        January 1992.
 
      - Additional 6,82,500 shares were allotted to retain
        oversubscription (3,45,000 shares to promoters, 3,03,400
 shares
        to the public and 34,100 shares to NRIs with repatriation
        rights).
 
 1994 - The Company undertook to manufacture OCB 283 exchanges with
        Alcatel collaboration, in India and 3.0 millon pices p.a. of
        cermaic type both bipolar and tripolar making it possible to
        reach the capacity rate of production.
 
 2002
 
 -Shri K.P.P.Nambiar has been appointed as MD and designated as
 Chairman and MD of the company.
