Linde India Limited has announced that its 89th Annual General Meeting (AGM) will be held on Thursday, August 14, 2025, at 10:00 a.m. (IST) through Video Conference (VC) or Other Audio-Visual Means (OAVM). The company has also set Thursday, August 7, 2025, as the record date for the payment of the dividend, which was recommended by the Board of Directors on May 23, 2025, and is subject to declaration at the upcoming AGM. The book closure period for the purpose of the AGM and dividend will be from Friday, August 8, 2025, to Thursday, August 14, 2025, both days inclusive.

Annual General Meeting Details
The 89th AGM will be conducted virtually, without the physical presence of members at a common venue, in adherence to the applicable provisions of the Companies Act, 2013, and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. This is in compliance with the Ministry of Corporate Affairs (MCA) General Circular No. 09/2024 dated September 19, 2024, and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 3, 2024, which extend relaxations for conducting AGMs until September 30, 2025.
Electronic copies of the Notice of the AGM and the Annual Report 2024-25 will be dispatched via email to members whose email addresses are registered with the company, its Registrars & Share Transfer Agents (RTA), or Depository Participant(s) (DP). For members whose email addresses are not registered, the company will send a communication providing the web-link, including the exact path, where the Annual Report is available. The Annual Report 2024-25 and the AGM Notice will also be accessible on Linde India's website (www.lindeindia.in) under "Investor Relations," on the websites of the Stock Exchanges (www.bseindia.com and www.nseindia.com), and on NSDL's website (https://www.evoting.nsdl.com). Printed copies of the Annual Report will be provided to shareholders upon specific request.
Dividend Information
The dividend, if declared at the 89th AGM, will be paid to eligible members whose names appear on the company's Register of Members or List of Beneficial Owners as of the record date, August 7, 2025. The payment will be facilitated through electronic modes approved by the Reserve Bank of India (RBI). Shareholders are strongly encouraged to update their complete bank details with their respective Depositories for shares held in dematerialized mode, and with the Company/RTA for shares held in physical mode. This can be done by emailing investor.relations.in@linde.com/einward.ris@kfintech.com, along with a copy of a signed request letter, mentioning their name, folio number, bank details, a self-attested copy of their PAN card, a cancelled cheque leaf, and other applicable documents.
Shareholder Information and Compliance
SEBI mandates that holders of securities in physical form furnish their PAN, KYC details (including postal address with PIN Code, email address, mobile number, bank account details), and nomination details. Members holding physical shares who have not updated their email addresses are requested to do so by submitting the relevant forms available on the RTA's portal (https://ris.kfintech.com/clientservices/isc/isrforms.aspx). For shares held in electronic form, members should register or update their email addresses and bank mandates directly with their Depository Participant(s). E-voting and Quorum
Linde India will provide its members with the facility to exercise their vote electronically, both through remote e-voting prior to the AGM and e-voting during the AGM itself. The detailed procedure for casting votes through e-voting will be outlined in the Notice of the AGM. Participation of members through VC/OAVM will be considered for the purpose of quorum under Section 103 of the Companies Act, 2013.
Taxation on Dividends (TDS)
As per the Income Tax Act, 1961, dividends paid or distributed by the company after April 1, 2020, are taxable in the hands of the shareholders. Consequently, Linde India will be required to deduct Tax at Source (TDS) at the time of dividend payment. To ensure the application of the appropriate TDS rate, members are requested to submit the necessary documents in accordance with the Income Tax Act, 1961, to the Registrar's shareholder portal. Further details regarding tax rates and required documents will also be provided in the Notice of the AGM.
