AGM Details and Virtual Participation
The 41st AGM will be conducted virtually, in adherence to the applicable provisions of the Companies Act, 2013, and the rules framed thereunder, as well as the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and relevant circulars issued by the Ministry of Corporate Affairs (MCA) and SEBI. Shareholders will have the option to attend the AGM via the VC facility or view a live webcast of the proceedings on the National Securities Depository Limited (NSDL) website, https://www.evoting.nsdl.com. Participation through the VC facility will be considered as presence for quorum purposes.
E-voting Process for Shareholders
UPL Limited is facilitating electronic voting for its members, allowing them to exercise their right to vote on all resolutions presented at the AGM. This includes both remote e-voting prior to the meeting and e-voting during the AGM itself, accessible through https://www.evoting.nsdl.com.
The eligibility to participate in both remote e-voting and e-voting at the AGM is determined by the cut-off date of Friday, July 18, 2025. Only individuals whose names are recorded in the Register of Members or in the Register of Beneficial Owners maintained by depositories as of this date will be entitled to vote.
The remote e-voting window will commence at 09:00 a.m. (IST) on Tuesday, July 22, 2025, and will conclude at 05:00 p.m. (IST) on Thursday, July 24, 2025. Once the remote e-voting module is disabled by NSDL after the specified end time, shareholders will not be able to change their votes.
Shareholders who acquire shares and become members of the company after the dispatch of the AGM Notice but hold shares as of the cut-off date (July 18, 2025) can obtain their e-voting login ID and password by sending a request to evoting@nsdl.com. Existing users registered with NSDL for remote e-voting can utilize their current user ID and password. Access to Annual Report and Other Documents
In compliance with regulatory requirements, the Notice convening the AGM and the standalone and consolidated financial statements for the Financial Year 2024-25, along with the Board's Report, Auditors' Report, and other necessary documents, were dispatched on Thursday, July 03, 2025. These documents were sent to all members whose email addresses are registered with the company, its Registrar and Transfer Agent (RTA), or Depository Participants.
For members who have not registered their email addresses, a letter containing a web-link to the complete Annual Report details has been sent, as per Regulation 36(1)(b) of the SEBI Listing Regulations. All relevant documents are also accessible on the company's official website, www.upl-ltd.com, and on the websites of the stock exchanges, BSE Limited (www.bseindia.com) and National Stock Exchange of India Limited (www.nseindia.com), as well as on NSDL's website, https://www.evoting.nsdl.com. Shareholders who prefer physical copies of the Annual Report can request them from the company. Additionally, documents referred to in the AGM Notice are available for inspection without any fee from the date of circulation of the Notice until the AGM date, by sending an email request to upl.investors@upl-ltd.com.
