Kewal Kiran Clothing Limited (KKCL) announced the strategic acquisition of a 50 percent stake in Kraus Casuals Private Limited (KCPL) for a total consideration of Rs 166.51 crore. This equity stake will be acquired through a combination of primary infusion and secondary purchase.
The acquisition marks KKCL's entry into the women’s denim and casual wear category, broadening its market presence and fortifying its leading position in India and the UAE.
“Today’s acquisition marks a significant milestone in our journey, aligning with our strategic vision of expanding and diversifying our Denim & Casual Wear portfolio. It's not only our maiden acquisition in KKCL's history but also a testament to our commitment to growth and innovation,” said Kewalchand Jain, Chairman & Managing Director, KKCL.
KCPL, which operates under the brand 'KRAUS jeans', specializes in manufacturing, designing, selling, and exporting women’s clothing, primarily focusing on casual and denim bottom and top wear for women, teens, and kids.
“We are impressed with the founders and the way they have been able to create a credible brand in underpenetrated & complicated Women’s Denim & Casual Wear. The acquisition fast forwards our journey towards becoming a Casual Wear brand for the entire family.” said Hemant Jain, Joint Managing Director, KKCL.
Previously, the business was operated by the partnership firm Oriental Trading Company (OTC). KCPL and OTC have entered into a Business Transfer Agreement, through which the partners of OTC—Mr. Ravi Punjabi, Mr. Sunil Punjabi, Mr. Sushil Punjabi, and Mr. Atmaram Punjabi—have agreed to transfer the partnership business to KCPL as a going concern.
KRAUS jeans, with its presence in over 1,000 large format stores such as Lifestyle, Pantaloons, Reliance, Shoppers Stop, and Lulu, along with a network of 8 exclusive brand outlets (EBOs), will complement KKCL's extensive network. KKCL boasts 488+ exclusive brand outlets, over 80 distributors covering 3,000+ multi-brand outlets (MBOs), and a presence in national chain stores across more than 2,000 counters in India.
“We have always looked out for opportunities to reach more people for our growing product range in Women's Denim & Casual apparel market. In KKCL, we have found a perfect strategic partner to help us broaden our market segment, channel partners and significantly grow our brand while remaining faithful to the founding principle of Kraus,” said Ravi Punjabi, Director, Kraus Casuals Private Limited.
This acquisition is expected to strengthen KKCL's market presence and enhance its distribution network, offering a significant boost to its growth trajectory in the women’s apparel segment.
