Bombay Dyeing to Hold AGM on August 13, 2025, to Consider Dividend

The Bombay Dyeing and Manufacturing Company Limited will hold its 145th Annual General Meeting (AGM) on Wednesday, August 13, 2025, at 3:30 PM IST via Video Conferencing (VC) or Other Audio Visual Means (OAVM). The meeting will address the adoption of audited financial statements, declaration of dividends, and appointment of directors.

The AGM will cover the following key agenda items:

1. Adoption of Audited Financial Statements for the year ended March 31, 2025.
2. Declaration of dividend on Preference Shares for the financial year ended March 31, 2025.
3. Declaration of dividend on Equity Shares for the financial year ended March 31, 2025.
4. Appointment of Director in place of Mr. Ness N. Wadia, who retires by rotation.
5. Ratification of Remuneration payable to Cost Auditors of the Company for the Financial Year ending 31st March, 2026.
6. Appointment of M/s. Parikh & Associates, Practicing Company Secretaries as Secretarial Auditors for a term of 5 years.

The company has fixed Thursday, 07th August, 2025 to Wednesday, 13th August, 2025 as the closure of Register of Members and the Share Transfer Books for the purpose of AGM and determining the entitlement of the shareholders to the final dividend for the financial year 2024-25.

The Annual Report for the Financial Year 2024-25 and the Notice of the 145th Annual General Meeting have been sent via email to all members whose email addresses are registered with the Company/RTA/Depositories/Depository Participant(s). The same has also been uploaded on the company's website and the websites of the Stock Exchanges.

Members can attend and participate in the AGM through VC/OAVM, with detailed procedures available on the company's website and the NSDL e-Voting platform. The facility allows participation of at least 1,000 members on a first-come-first-served basis, with unrestricted access for large shareholders, promoters, institutional investors, directors, and key managerial personnel.

Subject to the provisions of the Companies Act, 2013, dividend as recommended by the Board of Directors, if declared at the Meeting, will be paid within the time prescribed under law, to those Members whose name appear on the Register of Members as on 6th August, 2025. The dividend for the shares held in dematerialized form, will be paid to the Members whose names are furnished by National Securities Depository Limited and Central Depository Services (India) Limited as beneficial owners as on that date.
