Authum Investment and Mahi Madhusudan Kela have acquired 46.85% controlling stake in snack food company in Prataap Snacks for Rs 846.60 crore, triggering an open offer at a price of Rs 864 per share.
The share purchase pact was signed at a price of Rs 746 per share, a discount of 30% to Thursday's closing price. The open offer price is at a discount of about 20% discount to the last trade price.
Prataap Snacks informed exchanges about the deal on September 26 that will make it an associate company of Authum Investment (AIIL).
AIIL is purchasing the stake in Prataap Snacks from a clutch of private equity players. The names of sellers include Peak XV Partners Growth Investment Holdings I, Peak XV Partners Growth Investment II, and Sequoia Capital GFIV Mauritius Investments. After the deal, the sellers have ceased to be the part of the promoter entity in the company.
AIIL said this move aligns with Authum's strategy of diversifying its portfolio.
"This acquisition aligns with our long-term strategy of diversifying our portfolio while
investing in sectors that demonstrate both stability and growth potential. Our
intention is to nurture and expand this business, maximizing value creation for all
stakeholders and ensuring a sustainable, profitable future for the company," Authum Investment (AIIL) said in a statement. The transaction is expected to be completed within 6 months.
Shares of Prataap Snacks steadily climbed on Thursday's trade to end up 20% higher at close.
Prataap Snacks has been making progress in developing new products and building up alternate
channels of exports and quick commerce, the company had said during the June quarter earnings call. It had also appointed a strategic consultant for a comprehensive transformation program to improve revenue, efficiency, and distribution.
A good monsoon and reviving consumer demand is improved the company's outlook, and supported growth and profitability, Prataap Snacks has said.
