The Board of Directors of Monte Carlo Fashions Limited has announced that the 17th Annual General Meeting (AGM) will be held on Monday, September 29, 2025, at 11:00 A.M. (IST). The meeting will be conducted via video conferencing (VC) or other audio-visual means (OAVM).
The notice convening the 17th AGM is available on the company's website, www.montecarlocorporate.com.
The Register of Members and Share Transfer Books will be closed from Tuesday, September 23, 2025, to Monday, September 29, 2025 (both days inclusive), for the purpose of dividend payment and the AGM.
Dividend on equity shares, as recommended by the Board, will be paid to members whose names appear in the Register of Members on Monday, September 22, 2025, and in the Register of Beneficial Owners maintained by the depositories at the close of that date.
The company has engaged Central Depository Services (India) Limited (CDSL) to provide remote e-voting facilities for members holding shares in physical or dematerialized form.
The cut-off date for determining members eligible to vote through remote e-voting or during the AGM is Monday, September 22, 2025.

The Board of directors of the Company at its meeting held on May 26, 2025 has recommended a dividend of ₹20 per Equity Share on the paid up equity share capital of the Company. The Company has fixed Monday, September 22, 2025 as the "Record Date" for determining entitlement of Members for final dividend for the financial year ended March 31, 2025, if approved at the AGM. The dividend, if declared at the Annual General Meeting, will be paid subject to deduction of income-tax at source ('TDS'), wherever applicable within a period of 30 days from the date of declaration to the members.
