Company History - KSB
YEAR                       EVENTS
 1960 - The company was incorporated.  The Company was promoted by
 Lein,
        Schanzlin & Becker A.G., West Germany, Industrial &
 Prudential
        Investment Co. Ltd., Mumbai and Mr. F.K. Heller, an
 expatriate
        German national.  The Company manufacture power driven
 process
        pumps for use in the fertiliser, chemical and petrochemical
        industries and pumps for nuclear power stations.
 
 1971 - 20,000 Right shares issued at par. 10,000 shares on 25.2.1964
 in
        prop. 1:2 and 10,000 shares on 8.6.1970 in prop. 1:3.
 
 1972 - 10,000 Bonus shares issued in prop. 1:4.
   
 1977 - The project for the manufacture of nuclear power pumps was to
 be
        set up in the MIDC Industrial Area in Pimpri-Bosari.  The
 Company
        took up a new project for the manufacture of 4 submersible
 pumps
        and valves at Coimbatore.  A technical collaboration
 agreement
        was signed with VELAN inc., Montreal, Canada for this purpose
 and
        ICICI sanctioned term loans of Rs 640 lakhs.
 
      - After the issue of capital to the public during August, the
        shareholding in the Company of Canadian Kay Pump Ltd., of
        Toronto, Canada which is the holding company for certain
 overseas
        manufacturing companies associated with KSB, Germany stood
        reduced from 65% to 51.3%.
 
      - Shares subdivided in June.  2,50,000 Bonus shares issued in
 prop.
        1:2.  2,00,000 shares offered to the public in August 1977
 (prem.
        Rs 7.50 per share).
 
 1981 - The Company issued on 7th October, to its shareholders
 1,66,707
        - 13.5% 9-year secured convertible debentures of Rs 75 each
 for a
        total amount of Rs 1,25,03,025 on rights basis.  The
 allotment
        was made on 12th January, 1982.
 
      - 45,000 shares issued (prem. Rs 3.50 per share) to LIC on
        conversion of loans.  46,837 shares issued (prem. Rs 3.50 per
        share) to Canadian Kay Pump, Ltd., Canada.
 
 1982 - 9,66,835 Bonus shares issued in prop. 4:5 in January 1983.
 
 1983 - In terms of the convertible debentures 20% of the face value
 of
        each debenture (Rs 15 was converted into one fully paid
 equity
        share of Rs 10 each at a premium of Rs 5 per share) on 12th
        January.
 
      - Grade-O-Castings Ltd., is a subsidiary of the Company.
 
 1988 - The Company entered into a long term agreement with Nuclear
 Power
        Corporation of India Ltd., for the manufacture of bigger
 pumps
        for nuclear power station.
 
      - 21,75,379 Bonus shares issued in prop. 1:1.
 
 1989 - 43,50,758 Bonus Equity shares issued in prop. 1:1.
 
 1996 - 87,01,516 No. of equity shares issued as bonus in prop. 1:1.
 
 2002
 
 -Mumbai High court sanctions the scheme of amalgamation of
 Grade-O-castings Ltd with the company.
 
 2003
 
 -M/s Paharpur Cooling Towers Ltd acquired 74964 ie., 0.43% equity
 shares of the company by Inter Se Transfer Mode.
 
 -Specified Undertaking of the UTI has sold 4,72,220 shares amounting
 to 2.71%.
 
 -Declares interim dividend @ 10% on equity shares of Rs.10 fully paid
 up.
 
 - Unit Trust of India has sold 4,72,220 shares amounting to 2.7139%
 of KSB Pumps Limited
 
 2006
 
 -KSB Pumps Ltd has informed that Mr. Heinz-Jurgen Otto has been
 appointed as a Non-executive Director of the Company.
 
 2007
 
 - Ksb Pumps Ltd. has appointed Dr. Wolfgang Schmitt as a
 non-executive director of the Company.
 
 2008
 
 -KSB Pumps Ltd has appointed Mr. Pradip Shah as a director of the
 Company.

 -KSB Pumps has recommended 35% final dividend making a total dividend
 of 55% (including 20% interim dividend)
 
 2010
 
 -KSB Pumps has recommended Rs. 10.50 per share of Rs. 10/- each final

 2011
 
 -Mr. Mahesh G. Bhave is appointed as Company Secretary and Compliance
 officer of the Company. Mrs. Mitra P. Parchure is appointed as
 Assistant Company Secretary.
 
 -KSB Pumps has given the Bonus in the Ratio of 1:1
 
 2012
 
 -KSB Pumps has recommended 30% final dividend making a total divdend
 of 40% (including 10% interim dividend).
 
 2013
 -KSB Pumps Ltd inaugurated a new Cast Iron Foundry at the existing
 facilities in Vambori near Ahmednagar.
 -KSB Pumps Ltd have declared Second Interim Dividend @ 45% i.e. Rs.
 4.50 per share.
 
 2014
 -KSB Pumps Ltd., India, launched the latest generation of its Etanorm
 series.
 -KSB in India, has launched a new generation of hot water
 recirculation pump without external cooling.
