Annual General Meeting Agenda
The 66th AGM will address several crucial matters for Nesco Limited. Shareholders will be asked to consider and adopt the audited standalone and consolidated financial statements of the company for the financial year ended March 31, 2025, along with the reports of the Board of Directors and auditors. This is a standard agenda item for AGMs, providing transparency on the company's financial health and performance over the past fiscal year.
Beyond the financial statements and dividend declaration, the meeting will also cover significant corporate governance matters. One key resolution involves the re-appointment of Mrs. Sudha S. Patel (DIN:00187055) as a Non-Executive Director. Mrs. Patel, who retires by rotation and has attained the age of 75 years, is eligible and has offered herself for re-appointment and continuation in office. This re-appointment requires a Special Resolution from the shareholders, in compliance with Section 152 of the Companies Act, 2013, and Regulation 17(1A) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Furthermore, the AGM agenda includes the appointment of a secretarial auditor and the approval of her remuneration. Ms. Neeta H. Desai (FCS No. 3262; COP No. 4741) of ND & Associates, Practicing Company Secretary, is proposed to be appointed as the secretarial auditor for a term of five consecutive years, from the financial year 2025-26 to 2029-30. This appointment, an Ordinary Resolution, is in accordance with Section 204 of the Companies Act, 2013, and Regulation 24A of the SEBI Listing Regulations. The Board of Directors, based on the recommendation of the audit committee, is authorized to fix her annual remuneration and out-of-pocket expenses.
Another Ordinary Resolution on the agenda is the ratification of the remuneration for the cost auditors, Y.S. Thakar & Co. (Firm Registration No.000318), for the financial year ending March 31, 2026. The proposed remuneration for the cost audit is ₹45,000, plus applicable taxes and out-of-pocket expenses. This ratification is sought pursuant to Section 148 of the Companies Act, 2013.
Shareholder Information and E-Voting
In line with the Ministry of Corporate Affairs (MCA) and SEBI circulars, the 66th AGM will be conducted entirely through virtual modes (VC/OAVM), eliminating the need for physical presence of members at a common venue. The deemed venue for the AGM will be the Registered Office of the Company at Nesco Center, Western Express Highway, Goregaon (East), Mumbai - 400063.
Nesco Limited is providing remote e-voting facilities to its members for all resolutions to be transacted at the AGM. The remote e-voting period will commence on Saturday, July 26, 2025, at 9:00 A.M. (IST) and will conclude on Tuesday, July 29, 2025, at 5:00 P.M. (IST). The voting rights of shareholders will be determined based on their shareholding as of the cut-off date, which is Wednesday, July 23, 2025. The company has appointed National Securities Depository Limited (NSDL) to facilitate the remote e-voting and e-voting during the AGM.
Shareholders whose names appear in the Register of Members/Beneficial Owners as of the record date (July 23, 2025) are eligible to cast their votes electronically. Detailed instructions for accessing and utilizing the NSDL e-Voting system, including login methods for individual shareholders holding securities in demat mode (with NSDL or CDSL) and other categories of shareholders, have been provided in the AGM notice. The company has also ensured that the Annual Report 2024-25 and the AGM Notice are available on its website (www.nesco.in) and on the websites of BSE and NSE.
For the dividend payment, Nesco Limited will deduct tax at source (TDS) as per the Income Tax Act, 1961. A separate email will be sent to registered email IDs of members detailing the process for submitting documents/declarations to claim beneficial tax treatment. The company also encourages members to register their email addresses and bank account details for electronic remittance of dividends through National Automated Clearing House (NACH).
The company has also highlighted the availability of the 'SWAYAM' Investor Self-Service Portal launched by its Registrar and Share Transfer Agent (RTA), MUFG Intime India Private Limited (formerly Link Intime India Private Limited). This portal allows investors to access information and avail various services in digital mode.
