Inca Finlease to consider sub-divide of shares
Inca Finlease has its Board of Directors meeting on January 15, 2011 to consider sub-divide of equity shares of Rs 10 each into Rs 2 each.

Inca Finlease Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on January 15, 2011, inter alia, to consider the following :
1. To sub-divide the existing Equity Shares of the Company of Rs. 10/- each into Rs. 2/- each, subject to approval of the shareholders.
2. To increase the Authorised Share Capital of the Company from Rs. 3.25 Crores to Rs. 5.00 Crores.
3. To consider raising of additional funds upto Rs. 10.00 Crores by way of Issue of Convertible Warrants / Bonds on Preferential basis to Promoters and Non-Promoters.
4. Approval for change of name of the Company from "INCA FINLEASE LIMITED" to "VISAGAR FINANCIAL SERVICES LIMITED" OR "VISAGAR FINANCIAL SERVICES (I) LIMITED" OR "VISAGAR FINANCE INDIA LIMITED" OR "VISAGAR FINLEASE LIMITED" with Registrar of Companies, Mumbai.
5. Appointment of Additional Director(s) on the Board of the Company.
6. To take on record the unaudited Financial Results of the Company for the Quarter ended December 31, 2010.
7. To alter Memorandum & Articles of Association for making alternation consequent to sub-division of face value of the Equity Shares, to increase the Authorised Share Capital of the Company, Change of name of the Company and to insert new article for passing of resolution by Postal Ballot.
8. To finalise the Date and draft of the Notice of Extraordinary General Meeting of the Shareholders of the Company for considering the business as set out in the Notice.
