AGM Details and Participation

The 60th AGM of Vedanta Limited is being convened to transact the businesses that will be set forth in the AGM Notice. In line with the circulars issued by the Ministry of Corporate Affairs (MCA) and the Securities and Exchange Board of India (SEBI), the AGM will be held electronically. This allows members to participate from any location, ensuring wider accessibility.

Members can join and attend the AGM through the VC/OAVM facility to view the live webcast of the proceedings. The facility to join the meeting will be opened thirty (30) minutes before the scheduled time and will remain open throughout the meeting. The company has stated that the VC/OAVM facility will be made available to at least 1,000 members on a first-come, first-served basis. Shareholders who have cast their vote by remote e-voting prior to the AGM may still attend the meeting but will not be entitled to cast their vote again. Those members who participate in the AGM via VC/OAVM and have not cast their vote through remote e-voting will have the opportunity to cast their vote during the AGM.

Remote E-voting Facility

Vedanta Limited is providing its members with the facility to exercise their right to vote on the resolutions proposed at the AGM through remote e-voting. The National Securities Depository Limited (NSDL) has been engaged as the agency to provide the e-voting platform.

The remote e-voting period will commence on Saturday, July 05, 2025, at 9:00 a.m. (IST) and will conclude on Wednesday, July 09, 2025, at 5:00 p.m. (IST). It is important for shareholders to note that remote e-voting will not be allowed beyond this specified date and time, as the system will be disabled by NSDL thereafter.

Eligibility for remote e-voting (both before and during the AGM) will be determined by the cut-off date, which is set as Thursday, July 03, 2025. Individuals whose names are recorded in the Register of Members or in the Register of Beneficial Owners maintained by the depositories as on this cut-off date will be entitled to avail the e-voting facility. Persons who are not members as on the cut-off date should treat the AGM Notice for information purposes only. Once a vote on a resolution is cast by a member, they will not be allowed to change it subsequently. The voting rights of members will be in proportion to their shares in the paid-up equity share capital of the company as on the cut-off date.

Members holding shares in physical mode and non-individual shareholders who acquire shares of the company and become members after the dispatch of the Notice but hold shares as on the cut-off date can obtain their login ID and password for the e-voting facility by sending a request to evoting@nsdl.com.

For any queries or complaints related to e-voting, members can refer to the Frequently Asked Questions (FAQs) and e-voting user manual available on www.evoting.nsdl.com or contact NSDL at evoting@nsdl.com or call 022-4886 7000. Ms. Pallavi Mhatre, Senior Manager at NSDL, can also be contacted at the designated email ID evoting@nsdl.com.

Book Closure

Pursuant to Section 91 of the Companies Act, 2013, and Rule 10 of the Companies (Management and Administration) Rules, 2014, along with applicable SEBI Listing Regulations, the Register of Members and Share Transfer Books of Vedanta Limited will remain closed from Saturday, July 05, 2025, to Wednesday, July 09, 2025 (both days inclusive).
