YEAR EVENTS
1954 - The Company was incorporated on 3rd April, under the name and
style of Agents and Distributors Ltd. The main object of the
company is to manufacture Trading.
1956 - The world `private' was added to its name by the Assistant
Registrar of Companies, West Bengal on 9th June.
1961 - The name of the Company was further changed to Usha Sales
Pvt.
Ltd. vide fresh Certificate of Incorporation dated 13th
November,
issued by the Registrar of Companies at New Delhi.
1975 - The word `private' was deleted from the name of the company
on
9th April, pursuant to provisions of Section 43A of the Act.
1982 - With effect from 15th September, the name has been changed to
Usha International Ltd.
- The Company is one of the largest consumer durable marketing
company in India. The range of merchandise presently
includes
sewing machines, electric fans, diesel engines, pistons, pins
and
rings, fuel injection equipment, knitting machines, hand
tools,
valves, marine products, marble and granite, brass ware, etc.
The Company also exports its merchandise to a number of
coutnries. It belongs to the Shriram Group of Enterprises.
1983 - Till date 3,38,000 No. of equity shares were issued as bonus
shares (30,000 shares in 1969-70 in prop. 1:5; 64,000 shares
in
1980-81 in prop. 16:45 and 2,44,000 shares in 1984-85 in
prop.
1:1).
1984 - 4,50,000 No. of equity shares of Rs. 10 each issued at a
premium
of Rs. 10 per share of which 74,800 shares were reserved and
allotted to directors, their friends, etc. and business
associates.
- The balance 3,75,200 shares were offered for public
subscription
during August 1985 out of which 18,750 shares to employees of
the
Company and 7,500 shares to business associates of the
Company
were reserved for preferential allotment, the unsubscribed
portion, if any, being added to the public offer.
1985 - The objects of the public issue of capital during August were
(i)
to augment the long term resources of the Company, (ii) to
get
the shares of the Company listed on a stock exchange.
1986 - Sales of main product lines and most of the products handled
by
the Company increased.
- The Company had expanded its product range from dominantly
fans,
sewing machines etc. to auto industry products and consumer
durables viz., knitting machines, heat, converters,
mixer-grinders, electric irons, furniture etc.
1989 - Efforts were also underway to increase exports of the
company's
products to other developing and developed countries like the
U.K. and U.S.A.
- 60,000 - 11% Pref. C shares redeemed.
1990 - Sales of sewing machines, diesel engines and knitting
machines
were lower due to reduced availability, while sales of all
other
products increased.
- As the Company's branches at Singapore and Malaysia were
incurring losses due to stiff competition and increasing
costs,
it was decided to close down these branches.
1997 - Usha International Ltd (UIL), part of the Shriram group, is
launching a new range of international zig-zag sewing
machines
from Janome of Japan. UIL has an exclusive technical and
marketing agreement with Janome and the new models are to be
imported initially from Japan.
- UIL launched a fully computerised industrial knitting machine
-
Usha Passap E8000, targeted for the medium scale woollen
garments
manufacturers.
- Usha International has a marketing agreement with Madag Ltd
of
Switzerland, one of the world's largest knitting machine
manufacturers. The company has an exclusive distribution
agreement for this medicine in India, Bhutan, Nepal and
Sikkim.
- UIL, and SIEL associate company, is one of the largest
consumer
durables and sewing machines manufacturers in India.
- The company launched a series of mix and match fans where
the motor can be matched with the blade design of the
customer's choice. In addition, light weight hi-tech fans
made
of ABS plastics and newer models of the super deluxe mini
mono
block pumps were launched.
- The company proposes to issue 40,000 shares to the promoters
at
an unspecified price. On the present equity base of Rs.1.88
crore, this will amount to raising the capital by 21 per cent.
- The company entered into a marketing agreement with Siel
Aircon.
1998 - Usha International Ltd has entered into an agreement with
Shriram Honda Power Equipment Ltd to market the latter's
general purpose engines and portable pumpsets in the country.
- Usha has launched a new water purifier which is also aimed at
boosting the bottom lines.
- Usha International recently introduced a table-top water
purifier
in a tieup with Brita of Germany.
- Usha International Ltd, a Sidharth Shriram group company, is
launching a slew of new models across its existing product
lines.
- The Company has launched Brita Water Guard which have very
good
potential.
1999 - The Company issued 4,00,000 No. of Equity Shares of Rs. 10
each,
which were allotted to promoter companies at a premium of Rs.
131/- per share, have been fully paid up and have also been
listed on the Delhi Stock Exchange.
2000 - The Company has launched new products in various product
categories like fans, sewing machines, home appliances
and
agricultural products in Karnataka.
- Usha International Ltd. has entered into a tie-up with
Honda Siel
Power Products Ltd (HSPPL) to market light-weight
kerosene
pumpsets.
- The marketing arm of the Usha Group of Companies, is
introducing
e-commerce. The Company was the only company in the
country
which had an ISO certification for marketing.
- Usha International Ltd. has launched new models of the
Windsor
fan.
- The Company has launched a new ad campaign as part of
its
image-building exercise.
- Usha International Ltd, a Siddharth Shriram Group
Company, has
launched Sterling, chrome plated series of table, wall
and
pedestal fans.
- Usha International Ltd. has launched Sterling, the
chrome plated
series of table, wall and pedestal fans.
- Usha International has launched a new range of fans
called the
Mist Air Series.
- Usha International has entered into a tie-up with Davey
Products
Ltd. of Melbourne, Australia, to exclusively market the
full
range of Davey pumps in India under the brand name `Usha
Davey'.
- Usha International Ltd. has launched a new international
range of Lexus
steam/dry/spray irons.
- The Company has launched a new range of water heaters
called Spectrum.
2001 - Usha International has launched Lexus Quartz Fan Heater cum
Humidifier.
- Usha International has launched Oasis, a single blower
tall body portable room cooler.
- Usha International Ltd. has entered into a tie-up with
Hunter Fan Company of the US
to market the Hunter series of premium and decorative
ceiling fans.
2006
