Nurture Well Industries Ltd.

The Company was incorporated under the name of Integration
 Technologies Pvt. Ltd. as a Private & Limited Company under the
 Companies Act, 1956 (hereinafter referred to as the Act) on 14th May,
 1986. Subsequently the Company having passed the necessary special
 resolution under Section 21 of the Act became a Public Limited
 Company and obtained a fresh certificate of incorporation on 18th
 June, 1987. Finally the Company changed its name to Integrated
 Technologies Ltd. (hereinafter referred to as ITL or the Company) and
 a fresh Certificate of Incorporation consequent upon change of name
 was issued on 18th June, 1987 by the Registrar of Companies, Delhi &
 Haryana at New Delhi.
 
 The shareholders at their Extra-ordinary General meeting held on
 29.7.94 have approved transfer of the Regd. office of the Company
 from the existing location to Sector 35, Village Narsingpur, Distt.
 Gurgaon.  Haryana in pursuance of clause no. 5 of Assisted Sector
 Agreement dated 5.6.91 between private promoter Shri Rajeev Bali and
 HARTRON.  An
 application seeking approval of Company Law Board has been made and
 their approval is awaited. 
 
 Towards achieving its objectives, Company has acquired the land for
 the factory, started civil works and has completed 70% building of
 its factory building. It has obtained sanctions for loans envisaged
 in Means of Financing.
 
 Promoters have brought in 43.92% of their contribution. The
 Technical, Financial and Marketing collaboration agreement has been
 signed. The Company is now making arrangement for raising equity from
 the market through Public Issue. The Company has obtained the
 necessary government approvals for setting up the project.
