EVENTS
1924 - The Company was incorporated on 19th August, at Calcutta as a
private limited
company under the name of D Gestetner (India) Ltd.
- The main activities of the company upto 1952, were
distribution & sale of products
manufactured by Gestetner Ltd and its associates in U.K.
At present its object and
activities constitute manufacture of duplicating
machines, both hand & power driven,
stencil, ink, correcting fluid and accessories & trading
in duplicating paper & electronic
stencil cutting machines. The company also exports its
products.
1945 - The name was changed to Gestetner (India) Ltd, and to
Gestetner Duplicators Ltd, in 1946.
1975 - The name was again changed on 18th April, to Indian
Duplicators Co Ltd. It was converted
into a public limited company on 7th September, 1977.
- The company is authorised to use the trade mark
Gestetner for the produced
manufactured & marketed by it under an agreement dated
16th July, between Gestetner
Ltd, London (a wholly owned subsidiary of Gestetner
Holding Ltd, U.K.) and the company.
- The company has an agency agreement with Gestetner Ltd,
London for procurement of
export orders in the countries where exports are
affected by the company. The company has
plant to enter into a technical collaboration with
Gestetner, Australia.
- The technical collaborations of the company are 1)
Gestetner Ltd, U.L. 2) Gestetner Holding
Ltd, U.K. 3) The technical collaboration agreement with
M/s Copyer Company of Japan,
expired during the year.
1991 - The product Electronic Duplicating Machines - 4130 series, is
scheduled to be launched
by October the Company is also actively pursuing a 100%
export oriented project for
Electronic Stencil Cutting Machines.
1992 - The Company has entered into an agreement to sell present
factory land and building
at Entally, Calcutta, in a phased manner.
1993 - The Company has introduced the latest digital high speed
duplicator which has been
well accepted in the domestic market.
- The Company introduced telecommunication equipment such
as EPABX, FAX machines,
Cordless and PB telephones into our product range to
expand our marketing activities.
1994 - The Rights Issue offered by the Company was closed on
14.5.1994 and shares were
allotted on 15.6.1994.
- During the year the Company developed new export in
Kenya, Papual New Guinea,
Singapore and HongKong. Exports to Bangladesh also
increased substantially.
- During the period under review the Company's equity
share capital has increased by Rights
Issue of 9,75,000 No. of Equity Shares of Rs. 10/- each
and preferential allotment of 5,50,247
No. of Equity Shares of Rs. 10/- each to Gestetner
Holdings Plc., U.K. to raise their holding
from 40% to 49.5%.
1995 - Ricoh Company Ltd. of Japan has acquired almost 100% shares of
Gestetner Holding Plc,
U.K., who hold 49.5% shares in the Company with an
option for another 1.5% shares.
- Mr J. Andrew Woods, Managing Director, Gestetner
Manufacturing Ltd., joined the Board
of GIL on 1st June.
1996 - The Company has launched two new models of Copyprinter during
February, 1997.
- The Company has also entered into Technical
Collaboration Agreement with Ricoh
Wellingborough Products Ltd., UK for manufacture of
Electronic Duplicator.
- The shareholders of the Company have authorised the
Board of Directors to issue and
allot 106385 No. of equity shares of Rs. 10/- each to
Gestetner, UK. Gestetner (India) has
become a subsidiary of Gestetner, U.K.
- Mr. Anil Kumar and Mr. V.A. Ravindran, directors retire
at the ensuing Annual General
Meeting and, being eligible, have offered themselves
for re-appointment.
- Mr. J. Andrew Woods has resigned from the Board.
1997 - The Company has launched a new digital product the Aficio
3220. It is code named
ADAM as it is the first in a new generation of copying
printing and communicating
technology from RICOH which is set to redefine the way
people work in offices.
- Mr. Paul Wilkinson, Chief Executive has been included in
the Board as Managing Director
w.e.f. 1st September, for a period of two years.
- Mr. Roger Moreton and Mr. Dave Weller have resigned from
the Board on 9th June.
- Mr. Jahar Sengupta and Mr. M.K. Kumar, directors retire
at the ensuing Annual General
Meeting and, being eligible, have offered themselves for
re-appointment.
1998 - Two new digital machines in multi-functional copier segment,
Aficio 3235 and 3245 are
being introduced in 1999. These machines have a higher
speed of copying/Printing
i.e. 35 pages and 45 pages per minute respectively and
have certain additional features.
Newer models are also being introduced in the
CopyPrinter segment to cater to a wider
market.
- The Company was assigned P1 CRISIL rating in April for
short term borrowings
indicating that the degree of safety with regard to
timely payment on the borrowings is strong.
- Mr. V.A. Ravindran and Mr. Anil Kumar retire at the
conclusion of the forthcoming Annual General
Meeting and being eligible, have offered themselves for
re-appointment.
2000 - Gestetner India Ltd., a subsidiary of Gestetner Holdings Plc,
UK, launched a
series of digital printer-copiers, including Majito,
that can print up to 140 pages
per minute in tandem.
2002-Gestetner India Ltd has informed that Mr Steve King Director of
the company has ceased to be its director.
2004
-Gestetner India awarded ISO 9001:2000 certification
