Endurance Technologies Limited's Board of Directors, following their meeting on August 13, 2025, has proposed the appointment of Mr. Shyamak Ramyar Tata as an Independent Director. The decision, based on the recommendation of the Nomination and Remuneration Committee, will be finalized via a postal ballot, with results expected by October 16, 2025.
Mr. Tata’s appointment is slated for a five-year term, commencing on November 1, 2025, and concluding on October 31, 2030. This appointment is not subject to retirement by rotation, aligning with the Companies Act, 2013, and related regulations.
The postal ballot process adheres to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, along with circulars from the Ministry of Corporate Affairs (MCA) and SEBI concerning general meetings and e-voting.
The dispatch of the postal ballot notice began on September 11, 2025, to members listed in the Register of Members or Beneficial Owners as of September 5, 2025 (“Cut-off Date”). National Securities Depository Limited (NSDL) is facilitating the remote e-voting process.
Remote e-voting will be open from 9:00 am (IST) on September 15, 2025, until 5:00 pm (IST) on October 14, 2025, after which the e-voting module will be disabled.
Mr. Tata brings extensive experience from serving major Indian and multinational corporations, including his role as Chairperson of Deloitte India from 2019 to 2021. His expertise spans strategy and planning, business management, financial acumen, and law and governance.
His remuneration will include sitting fees for Board and Committee meetings, along with commission-based compensation determined by the Board, up to 1% of the Company's net profits, within approved monetary limits.
The Board anticipates that Mr. Tata’s appointment will bolster its capabilities in governance, risk management, audit, and ESG, supporting the Company's sustainable growth objectives.
The Board recommends the Special Resolution for Mr. Tata’s appointment as an Independent Director for Member approval.
Remote e-voting will commence at 9:00 am (IST) on September 15, 2025, and conclude at 5:00 pm (IST) on October 14, 2025. After this period, the e-voting module will be disabled, and no further voting will be permitted.
