KLG Systel Ltd has informed BSE that "the meeting of the Board of Directors held on August 03, 2013 was adjourned to August 19, 2013, because the Audit is delayed due to lack of accounting staff in the Company as all the employees of the company have been terminated w.e.f. March 31, 2013. As per our Auditors the Audited Results will be finalized by August 19, 2013 for approval by Board. Hence next board meeting is going to be held on August 19,2013.- It is also Intimated that the Company had received letter from Mr. Vijoy Kumar intimating his resignation from office of Director of the Company from July 22, 2013 and the said resignation has been accepted by the Managing Director on July 23, 2013.- As a result of resignation of Mr. Vijoy Kumar the total strength of the Board of Directors of the Company has reduced to one, which is less than the minimum number of directors statutorily required for a public limited company.- The Company is making efforts to appoint new persons as directors of the Company, which act is likely to take time as persons are unwilling to be appointed as director of the Company due to reasons cited in our earlier letter dated May 20, 2013."Source : BSE
