Vaswani Industries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on September 20, 2011, inter alia, has considered and approved the following:1. Increase in Authorized Share Capital of the Company from Rs 25,00,00,000/- (Rupees Twenty Five Crore only) to Rs 30,00,00,000/- (Rupees Thirty Crore only).2. Alteration in Memorandum & Articles of Association of the Company to give effect to the prepared change in Authorizes Share Capital of the Company.3. The proposal for making bonus issue of 25,00,000 (Twenty five lac only) equity shares of the Company to the shareholders (other than promoter & promoter entities) in the proportion of 1(one) equity share for every 4(four) shares of Rs 10/- each.4. Fixed the date and time for convening the Company's Annual General Meeting (AGM) and approved the notice of the same and authorized the Director or other person to issue the notice convening the AGM.Source : BSE
