Sunflag Iron & Steel Company Limited's board of directors will meet for the Thirty-ninth (39th) Annual General Meeting (AGM) on September 26, 2025, to discuss and act on several key business matters. The meeting will address the adoption of audited financial statements, declaration of dividend, appointment of directors, and appointment of statutory auditors.
The board will consider declaring a final dividend of ₹0.75 per equity share, which amounts to 7.5% on equity shares with a face value of ₹10 each, for the financial year ending March 31, 2025. If approved, the dividend will be paid on or after September 30, 2025.
The meeting will also address key appointments, including the reappointment of Mr. Pranav Bhardwaj as the Managing Director of the Company for a further period of Five years effective January 17, 2026.
Additionally, the board will consider the appointment of M/s. Lodha & Co. LLP, Chartered Accountants, New Delhi, as the statutory auditors of the company for a term of five consecutive years, effective from the conclusion of the 39th Annual General Meeting until the conclusion of the 44th Annual General Meeting. This decision follows the completion of the five-year term of the current auditors, M/s. N S BP & Co., Chartered Accountants, New Delhi.
The meeting will also include resolutions for the reappointment of CA Vinita Bahri and CA Mattegunta Anjani Venkatramana Goutham as Non-executive, Independent Directors for second fixed terms of five consecutive years.
Lastly, the appointment of M/s. DM & Associates Company Secretaries LLP, Mumbai as Secretarial Auditors of the Company will be addressed.
The meeting will be conducted through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) to ensure participation without physical presence, aligning with the directives from the Ministry of Corporate Affairs (MCA) and the Securities and Exchange Board of India (SEBI).
