Tata Capital’s share sale is the biggest IPO to hit the Indian primary markets this year.

IPO-bound Tata Capital has begun a series of institutional roadshows, engaging both global and domestic investors, as the company looks to build a momentum ahead of its much-anticipated initial public offering , expected to be over Rs 17,000 crore in size, sources told Moneycontrol. 

The development comes after the shadow bank filed an updated Draft Red Herring Prospectus with the Securities and Exchange Board of India on August 4. 

“Tata Capital's diversified lending portfolio, strong parentage, the legacy of the Tata brand, and sharp focus on digital transformation are expected to attract a broad spectrum of investors, both foreign and domestic,” one of the sources cited above said.

Tata Capital’s share sale will is the biggest IPO of 2025. The offer comprises a fresh issue of up to 21 crore equity shares and an offer for sale (OFS) of up to 26.58 crore shares, aggregating to 47.58 crore shares.

Tata Sons, promoter of the non-banking finance company , is expected to offload up to 23 crore shares, while International Finance Corporation (IFC) will sell up to 3.58 crore shares as part of the OFS.

Fresh proceeds will be used for augmenting its Tier–I capital base to meet capital requirements, including onward lending.

An email sent to Tata Capital did not elicit a response till the time of publication.

Sources said that senior leadership at Tata Capital is spearheading both global and domestic outreach, with roadshows underway at key financial centres of Hong Kong, Singapore, the United Kingdom and the United States as well as India.

The global roadshows will be followed by a domestic leg focusing on retail investors, they said. The retail roadshows are expected to take place closer to the IPO launch.

The roadshows are an opportunity for Tata Capital to channel investor interest, communicate its strategic roadmap, and build confidence ahead of what is expected to be one of the most significant financial services IPOs of the year, sources said.
