This time it is Infosys that is caught up in the net of the 'bitter boardroom battle' as the rift between the founders and the board is out in the open. But, Kiran Mazumdar Shaw, Independent Director at Infosys says, “These are not governance issues, these are differences in values and perceptions.”
As per reports, founders of the company had raised issues regarding governance lapses, CEO’s pay and severance pay of its former employees.
In conversation with CNBC-TV18, Shaw said that it is important to build a bridge of communication so perceptions can be done away with.
She also said that the company is going through challenging times and reposed her faith in Vishal Sikka saying that he is the man for the way forward. The need of the hour is to support Sikka and the management, added Shaw.There are speculations that the promoters differ on Sikka’s aggressive acquisition strategy but Shaw rubbishes these claims and says that the Infy CEO has not got an aggressive acquisition strategy and the company has not made any mega acquisitions during Sikka’s time. Further, Shaw said, "Promoters have said that they would like Vishal to go ahead and make sure that he delivers on his very lofty goals." She also said that the board has to do what is right for the organisation and the promoters will support the fiduciary responsibility of the board.
The Infosys Board is in the limelight for all the wrong reasons but Shaw says that the company's board has transitioned from an executive board to an independent professional board. There also concerns that there was a point of dissonance with name suggestions for the inclusion in the board. To this Shaw said, everybody is welcome to recommend names but it's the board that takes the call after analysis.
