Rani Kapur, the mother of Sona Comstar's late Chairman Sunjay Kapur has written a letter to the company's board, seeking immediate deferment of the company's annual general meeting (AGM) which is scheduled for July 25. She raised strong objections to the AGM being held at a time of deep mourning for the family, amid the 'suspicious' and sudden death of her son.
Sunjay Kapur had passed away at the age of 53 on June 12 after suffering a heart attack in UK. The incident occurred while he was playing polo.
Notably, the AGM has already begun with Sunjay Kapur's widow Priya Sachdev likely to attend the meeting, reports said.
In her letter, Rani Kapur noted that she is the sole beneficiary of her late husband Surinder Kapur's estate, and the majority shareholder of the Sona Group including Sona Comstar. "As you are aware, on 12.06.2025, my son Mr. Sunjay Kapur tragically passed away under highly suspicious and unexplained circumstances in the United Kingdom. Despite me seeking information, I have been unable to receive any relevant answers and documents explaining the incident and have been confined to the knowledge and version set out by the media," she said in her letter, as quoted by CNBC-TV18.
'Compelled to sign documents without even the time to read them'
Rani Kapur alleged that she was "compelled" to sign various documents without explanation or even having time to read them during the time of mourning. "Despite being under immense mental and emotional distress, I was coerced into signing such documents behind locked doors and though I’ve requested repeatedly, the contents of such documents have never been revealed to me. Please also take note that I have been totally denied access to my accounts and have been left to the mercy of a select few for survival. All this, in less than a month of my only son passing away," she said in her letter.
She alleged that while the family was still in mourning, some people took it as an opportune time to wrest control and usurp the family legacy. She added that several resolutions, including one to appoint director as the representative of the Kapur family, are set to be voted upon during the AGM, without informing the family.
"I've been informed that certain people are representing themselves as being the largest shareholders of the Company since they claim to represent the interest of the family in the Company. I am fully convinced that the documents which were executed by me under coercion and duress, post the demise of my son, at a time of mental and emotional vulnerability are being misused," Rani Kapur alleged.
Sunjay Kapur's mother further highlighted that she hasn't consented to anyone to represent herself before the company. "If the Board and the shareholders however choose to ignore this letter, which I am writing in my capacity of not just being the grieving mother of Sunjay Kapur, but also the head of the Kapur family and the largest shareholder of the Company, it would be a clear case of mismanagement and breach of trust by the Company," she said while asking the board to unconditionally defer the AGM.
The shares of Sona BLW sharply fell nearly 3 percent to trade at Rs 477 apiece in the afternoon.
