The Board of Directors of Neuland Laboratories Limited has approved the appointment of Dr. Ravi Shankar Gopinath as an Independent Director, effective from August 1, 2025. The appointment is subject to the approval of the members and is for a term of five consecutive years.
The decision was made based on the recommendation of the Nomination and Remuneration Committee (NRC). The NRC considered Dr. Gopinath's expertise, integrity, skills, and knowledge in making its recommendation.
Dr. Gopinath's profile includes extensive experience in strategy formulation and execution, digital technologies, operational excellence, M&A transactions, and leadership development. The Board believes that his association with Neuland Laboratories would be of immense benefit to the company.
The company has received a notice from a member proposing Dr. Gopinath's candidature for the office of Director. Dr. Gopinath has also provided his consent and declarations as required under the Companies Act, 2013.
The terms and conditions of Dr. Gopinath's appointment as an Independent Director will be available for inspection to the members upon request to the company at ir@neulandlabs.com.
The Board recommends the appointment of Dr. Ravi Shankar Gopinath for approval by the members as a Special Resolution.
Dr. Davuluri Rama Mohan Rao, Executive Chairman, has announced the resolution. The resolution, if passed by requisite majority, shall be deemed to have been passed on September 26, 2025.
The resolution is as follows:
RESOLVED THAT pursuant to the provisions of Sections 149, 150 and 152 read with Schedule IV and other applicable provisions, if any, of the Companies Act, 2013 ("the Act") read with the Companies (Appointment and Qualification of Directors) Rules, 2014, Regulation 17(1C), 25(2A) and other applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, (including any statutory modification(s), clarification(s), substitution(s) or re-enactment(s) thereof for the time being in force), any other applicable law(s), regulation(s), guideline(s), and the Articles of Association of the Company, Dr. Ravi Shankar Gopinath (DIN: 00803847), who was appointed as an Additional Director of the Company, categorised as independent, by the Board of Directors with effect from August 1, 2025, in terms of Section 161 of the Companies Act, 2013 and in respect of whom the Company has received notice in writing under Section 160 of the Act, from a Member proposing him as a director, be and is hereby appointed as an Independent Director of the Company for a term of five consecutive years effective from August 1, 2025 till July 31, 2025 and shall not be liable to retire by rotation.
RESOLVED FURTHER THAT Dr. D. R. Rao, Executive Chairman, Mr. D. Sucheth Rao, Vice Chairman & CEO and Ms. Sarada Bhamidipati, Company Secretary of the Company, be and are hereby authorized severally to comply with all the requirements, including digitally signing and filing of various forms with the Ministry of Corporate Affairs, Government of India, and to do all such acts and things as may be necessary to give effect to the aforesaid resolution.

Prior to the merger, he was the Executive Vice President of Schneider Electric Software. He joined Schneider Electric in 2014 following the acquisition of Invensys plc by Schneider Electric, where he was President of Invensys Software. He holds a Ph.D. in Chemical Engineering from Rensselaer Polytechnic Institute, New York and Masters in Chemical Engineering from IIT, Bombay. |
