JK Agri Genetics fixes new record date for demerger & reorganisation of Capital

With reference to the earlier announcement regarding withdrawal of Record Date for the purpose of Scheme of Arrangement and Demerger between JK Agri Genetics Ltd and its Shareholders and Creditors being the Transferor Company and Florence Alumina Ltd and its Shareholders and Creditors being the Transferee Company, JK Agri Genetics Ltd has now informed BSE that the Company has fixed the new Record date on February 07, 2013, for the purpose of the Demerger and Reorganisation of Capital in terms of scheme. Every Shareholder of the Transferor Company holding equity shares as on the Record date, will be issued and allotted Equity Shares of Transferee Company and of Transferor Company in the ratio of three fully paid up Equity Shares of Rs. 10/- each of the Transferee Company and two fully paid up Equity Shares of Rs. 10/- each of the Transferor Company, for every five fully paid up Equity Shares of Rs. 10/- each of the Transferor Company and consequently, the Shareholding in the Company shall stand reorgnized e.g. for every 100 Equity Shares of the Transferor Company, the shareholder shall receive the following fully paid up equity Shares : - 60 Equity shares of Rs. 10 each (fully paid up ) of Transferee Company. - 40 Equity shares of Rs. 10 each (fully paid up) of Transferor Company.Source : BSE
