INTEGRA CAPITAL MANAGEMENT LIMITED (ICML) was incorporated on
02-05-1990 as a private limited Company under the Companies Act, 1956
and registered with the Registrar of Companies, Delhi & Haryana at New
Delhi. The Company became a public limited Company on 09-03-1993 and
obtained a fresh Certificate of incorporation from the said Registrar
of Companies on 04-05-1993.
The company was primarily engaged in fund based operations like
leasing, hire purchase and short term loans. Uptill 1994 the fund
base of the company came from the promoters contribution as well as
deposits from friends, relatives and associates. The client base was
focused on the network created from over 35 years experience and
contacts of the
Chairman in his professional capacity. For the period 31-03-92 to
31-03-95 the company recorded an increase of over 27 times in the
profitability. In the year 1993-94 the company also availed of a
cash credit limit of Rs 50.00 lacs from Bank Of India for leasing
activities which was enhanced to Rs 100.00 lacs in the year 1994-95
No. NDIFC:CAD:RKS:11:2496 dated 12.12.94. The company was also
assigned Credit Rating AA and Health Code 01 signifying satisfactory
nature of account and denoting excellence in quality of management,
financial standing, information system, financial dicipline and
ancillary business, by the Bank of india vide their letter ref.
NDIFB:CAD:RKS dated 09.03.95.
In the year 1993-94 the company also undertook a series of reports
commisioned by the American international Group in the areas of
financial services, infrastructure and insurance reforms. On
1.04.1994 the company entered into a one year contract with American
international Group at a monthly retainership of Rs. 50.000 and this
subsequently been extended for an indefinite period by the company.
The company went in for voluntary CRISIL rating to enhance the
credibility of its Fixed Deposit Program and received an investment
grade credit rating FA- denoting adequate safety with regard to
timely payment of interest and principal, vide their letter
#GVM/lCML/022-95 dated. 28.01.95.
The company is an accredited Category-I Merchant Banker and
registered with the Securities & Exchange Board of India vide their
Certificate of Registration # MB-INM000005528 dated November 16,1994.
The company has also obtained trading membership of National Stock
Exchange (NSE) vide
their letter dated August 7,1995. However the same membership shall
be transfered in the name of group Company integra Securities Pvt.
Ltd. in view of the membership requirement of NSE. The Company
integra Capital Management Ltd. at present holds 23.5% of the paid up
share capital of
the integra Securities Pvt. Ltd. The fees for the membership of the
NSE shall be paid by integra Securities Pvt. Ltd. and the same has
not been considered in the financial projections/cost of project of
integra Capital Manangement Ltd.
The present activities of the Companarn Leasing,Merchant Banking,
Bills Discounting,intercorporate Deposits, investment in Shares and
Securtties and Corporate Advisory Services.
