Sungold Capital Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on September 25, 2012, inter alia, to consider, approve and take on record the following :

1. To consider the proposal of Preferential Allotment under section 81(A) of the Companies Act, 1956 to promoter and promoter group subject to various statutory and member''s approval as the case may be.

2. The Special Resolution being subject to the approval in Extra Ordinary General meeting.

3. To consider and approve the notice convening Extra Ordinary General Meeting.
