Fortis Health - Outcome of Board Meeting

Fortis Healthcare Ltd has informed BSE that the Board of Directors of the Company at its Meeting held on August 14, 2012, has approved the following:

1. Re-constitution of the following Committees of the Board:

(i) Audit, Risk & Controls Committee: By inducting Mr. Pradeep Ratilal Raniga as its Member; and

(ii) Human Resources & Remuneration Committee: By inducting Ms. Joji Sekhon Gill as its Member and Chairman and by inducting Mr. Gurcharan Das as its Member;

2. Subject to the approval of Shareholders of the Company:

(i) Re-appointment of Mr. Shivinder Mohan Singh as "Executive Vice Chairman" for a period of 3 (three) years w.e.f. November 13, 2012;

(ii) Payment of an all inclusive Honorarium to Ms. Joji Sekhon Gill and Mr. Pradeep Ratilal Raniga, Non-Executive Directors

(iii) Variation in "Employee Stock Option Plan - 2011" for the Employees / Directors of the Company.
