Fischer Inorg - Outcome of Board Meeting

Fischer Chemic Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 04, 2012, inter alia, transacted the following business: -

1. Considered and approved following proposals, subject to the approval of the Shareholders through the process of Postal Ballot.

- Shifting of Registered office of the company from Thiruvallur District to Chennai.
- Alternation of Main Object Clause of Memorandum and Articles of Association.
- Sale of Company’s Assets u/s 293 (1) (a) of the Companies Act, 1956.

2. Appointed Mrs. Lakshmmi Subramanian, Practising Company Secretary as the Scrutinizer for the above Postal Ballot Process.

3. Deferred the matter relating to consideration and approval of the Audited financial results for the quarter and Year ended March 31, 2012 along with the Statement of Assets and Liabilities, due to non-availability of certain financial information’s, to the next board meeting scheduled to be held on May 18, 2012, under a fresh intimation to all the Stock Exchanges.
