Shree Rajeshwaranand - Appointment of Scrutineer for Postal Ballot

Shree Rajeshwaranand Paper Mills Ltd has informed BSE that the Board of Directors of the Company at its Meeting held on August 04, 2008 have appointed Mr. Kashyap R Mehta, Partner, Mehta Hurkat & Associates, Company Secretaries, Ahmedabad as Serutineer for the purpose of conduction of Postal Ballot in fair and transparent manner for obtaining approval of Members for the following three Special Resolutions to be passed through Postal Ballot: 1. Approval under relevant provisions of the Companies Act, 1956 and Regulation 12 of Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulation, 1997, for ratification of change in control of the management of the Company. 2. Approval under Section 94, 31 and all other relevant provisions of the Companies Act, 1956 for increase in Authorised Share Capital from Rs 10.00 Crores to Rs 13.00 Crores. 3. Approval under Section 81(1A) and all other relevant provisions of the Companies Act, 1956 for issue of 50,00,000 Equity Shares of Rs 10/- each for cash at par or at the price, which is in accordance with the SEBI guidelines for preferential issues, whichever is higher to Non Promoters on Preferential basis.
