jaggihsI too had invested in Elder with a long term view but got out at 290 just before recent spurt of volatility. Will certainly not invest in company with dubious accounting practice especially when it itself is doing nothing to counter it or give the true picture. May get in later if situation becomes clear and the accounts are ok....

Elder Pharmaceuticals Ltd has informed BSE that the shareholders at the 26th Annual General Meeting (AGM) of the Company held on September 29, 2009, inter alia, have passed the following resolutions:
1. For declaration of dividend @ 25% for the year ended March 31, 2009.
2. For re-appointment of M/s. S. S. Khandelwal & Co. Chartered Accountants, Mumbai as Auditors of the Company.
3. For re-appointment of Dr. S. Jayaram, Mr. Michael Bastian & Mrs. Urvashi Saxena as Directors whose period of office shall liable to retirement by rotation.
4. For re-appointment of Mr. Jagdish Saxena as the Managing Director of the Company.
5. For authorizing Board u/s 81 and 81(1A) of the Companies Act, 1956 for raising the funds to the extent of USD 50 million.

Posted by : jaggihsThere is no major wrongdoing. The issue pertains to contract treatment between Elder (and several other pharma companies) and their contract manufacturers. IT deptt has gone to Mumbai HC against them. For past 2 years Elder is deducting TDS so issue for Elder is for period before that. Won`t affect it much financially in ST....

With reference to news item appearing in financial daily dated September 16, 2009 titled
"Elder Pharma in parleys with US firm for stake sale", Elder Pharmaceuticals Ltd has clarified to BSE that the statement in the article Elder promoters want to dilute up to 20% stake is factually incorrect and misleading. Also Mr. Alok Saxena, Director, of the Company has not given any comment to the reporter yet the reporter has quoted him in the article.
Further the Company has informed that since other information mentioned in the article is market speculation the Company cannot comment on the same. ...
