Dolphin Offshore Enterprises India Ltd has informed BSE that the members of the Company, by way of Postal Ballot, have passed the Special Resolution regarding alteration of the "Other Objects" clause of the Memorandum of Association of the Company by inserting following clauses 88 to 90 after existing clause 87, with requisite majority :
88. To establish and maintain training, educational and research centers (including hyperbaric rescue and research centre) and institutes in India or abroad for imparting training, educating and development of underwater diving techniques, methods, skills, etc. and to undertake research and development in the area of underwater technologies, including saturation diving operating and maintaining Remotely Operated Vehicles (ROV) etc. and to establish educational institutions recognized as deemed university for training all categories of divers and under water technicians, welders, etc. to internationally recognized standards, and for this purpose, to tie up with foreign universities, institutes etc.;
89. To impart training in the development, manufacture, repair, service of Remotely Operated Vehicles (ROV) and other tools and equipments used in underwater technology and also in enhancing productivity related to extraction of hydro carbons and minerals from the sea bed;
90. To conduct, establish, evolve test procedures aimed at the safety of sub-sea equipments and structures such as platforms, pipelines, single-buoy mooring systems, floating production systems and sub-sea completions, subject to necessary provision and approvals....

Posted by : Guestlooks like it is entering in to correction zone.... the only problem to this stock is that fccb conversion @ 161 againist market price of 267 or 270 which indicate correction to that level which i am assessing but if expert can explain what we have to do in this position can any body expain which will benifit to all the investors ....

With reference to the earlier announcement dated September 14, 2009 regarding Conversion of FCCBs into equity shares, Dolphin Offshore Enterprises India Ltd has now informed BSE that the said annoucement has been Revised by the Company & the same should be read as follows:
"Dolphin Offshore Enterprises India Ltd has informed BSE that the Company has received Conversion Notice from Clearwater Capital Partners (Cyprus) Ltd. through The Bank of New York Mellon for converting 3495 Foreign Currency Convertible Bonds (FCCBs) of USD 1,000/- each. Accordingly, the Managing Committee of the Company at its meeting held on September 14, 2009 allotted 9,84,895 Equity Shares of Rs. 10/- each for a cash at a premium of Rs. 151/- by conversion of Bonds worth USD 3,495,000 (US Dollar Thirty Four Lakhs Ninety Five Thousand). The status of FCCBs are as under:
Initial Issue - USD 15,000,000
First Conversion - USD 3,000,000
Second conversion - USD 3,495,000
Balance to be converted - USD 8,505,000....
