MMB MessengerHT Media Limited has informed the Exchange that "The Board of Directors of HT Media Limited at its meeting held on November 16, 2009 has approved sale/transfer of the "Hindi Business Undertaking" comprising Hindustan, a Hindi daily; Nandan & Kadambini, Hindi magazines and internet portals of respective publications, including all assets, liabilities and employees pertaining to the said Hindi Business Undertaking, on slump sale and going concern basis, to Hindustan Media Ventures Limited, a subsidiary Company, with effect from 1st December, 2009 (opening), on Book Value as on 30th November, 2009 (closing) for a lump-sum cash consideration of Rs.149 Crore including net working capital of Rs.24 Crore. However, the net working capital shall be adjusted and transferred as per actual books of accounts to be certified by the Statutory Auditors, as on 30th November, 2009. The aforesaid decision of the Board of Directors is in pursuance to the approval already accorded by the shareholders of the Company under Section 293(1)(a) of the Companies Act, 1956 by postal ballot process"....
