Arshiya International Ltd has informed BSE that the members at the 28th Annual General Meeting (AGM) of the Company held on September 29, 2009, inter alia, have approved unanimously the following resolutions:
1. Adoption of Profit & Loss Account for the year ended March 31, 2009 and Balance Sheet as at that date and the Reports of the Auditors and Directors thereon.
2. Approved dividend @ 40% (i.e. Re. 0.80) per equity share of Rs. 2/- each.
3. Approved re-appointment of Prof. G. Raghuram & Mr. James Beltran, as Directors of the Company who retired by rotation.
4. Approved appointment of M/s. MGB & Co., Chartered Accountants, Mumbai as the Statutory Auditors of the Company to hold office from the conclusion of this meeting till the conclusion of the next Annual General Meeting at a remuneration to be determined by the Board of Directors.
5. Approved reappointment of Mr. Ajay S. Mittal as the Chairman and Managing Director of the Company for a period of five years with effect from April 19, 2009.
