Rural Electrification Corporation Limited has submitted to the Exchange a copy of the Notice of the Annual General Meeting of the Shareholders of the company to be held on September 24, 2008. Further the Company has informed the Exchange regarding a proposal for alteration in the Main Object Clause of the Memorandum of Association of the Company is included as Item No. 7 of the Notice to be transacted at the above Annual General Meeting. REC being a listed Company, is now required to comply with Section 192A of the Companies Act, 1956 read with Companies (Passing of the Resolutions by Postal Ballot) Rules, 2001, wherein it is prescribed that Resolution relating to alteration in the Object Clause of the Memorandum shall be passed by means of a Postal Ballot, by complying with the procedure prescribed therein, instead of transacting the business in the General Meeting of the Company. Accordingly, it has been decided by the Board of Directors of the Company at their meeting held on September 11, 2008, that in respect of Item No. 7 of the Notice relating to alteration in the Main Object Clause of the Memorandum of Association of the Company, instead of transacting the said business at the ensuing Annual General Meeting on September 24, 2008, approval of the Shareholders shall be sought separately by means of a Postal Ballot as per procedure prescribed under Section 192A of the Companies Act, 1956, read with Companies (Passing of the Resolutions by Postal Ballot) Rules, 2001. In connection with that, a Notice is being published in the newspapers. A copies of the Notice of Annual General Meeting and Newspaper copy shall be available on the NSE website (http://www.nseindia.com) under: Corporates > Latest Announcements and on the Extranet Server (/Common/Corporate Announcements)....
