Vakrangee Softwares Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on July 31, 2008, inter alia, to consider and approve the following matters:

1. To consider and approve the Un-audited Financial Results (Provisional) of the Company for the first quarter ended June 30, 2008.

2. To consider and approve the Audited Financial Results of the Company for the financial year ended March 31, 2008.

3. To consider the recommendation of final Dividend (if any) for the financial year 2007-08.

4. To fix the date of Book closure.

5. To fix the date, time and venue of 18th Annual General Meeting of the Company.

6. To consider the introduction and implementation of the Employee Stock Option Scheme -
2008 (ESOP 2008), subject to approval of the shareholders of the Company.

7. To consider and approve issuance of Securities on a Preferential Basis, subject to the approval of Shareholders of the Company.

8. To consider, approve and recommend amendment to the Articles of Association of the Company.
