SBI Capital Markets Limited has submitted to the Exchange a copy of the Post Offer Public Announcement published in the newspapers on September 27, 2008 with respect to the Public Offer for acquisition of 20.65% of the paid-up equity capital of IL&FS Investsmart Limited ("Target Company") by HSBC Securities & Capital Markets (India) Private Limited and HSBC Violet Investments (Mauritius) Limited (collectively the "Acquirers") along with HSBC Investment Bank Holdings B.V. and The Hongkong and Shanghai Banking Corporation Limited ("Offer"), which opened on July 11, 2008 and closed on July 30, 2008. The Acquirer has complied with all its obligations as stipulated under the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 ("SEBI (SAST) Regulations"). Il&Fs Investsmart Limited had informed the Exchange regarding the formal communications received from Infrastructure Leasing & Financial Services Limited (IL&FS) and E*TRADE Mauritius Limited, Mauritius (ETM) informing about the proposed sale of their respective stakes in the Company. The Company has inform the Exchange that the Board of Directors of the Company at its meeting held today, i.e. September 29, 2008, have noted the sale of 29.357% and 43.854% stakes held by IL&FS and ETM, respectively in the Company to HSBC Securities & Capital Markets (India) Private Limited (HSCI) and HSBC Violet Investments (Mauritius) Limited (Violet), respectively on September 29, 2008 and further, in terms of the Public Announcement made on May 20, 2008 and corrigenda issued thereto by HSCI and Violet (Collectively referred to as Acquirers) making an open Offer under Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997, the acquisition of shares by the Acquirers has also concluded on September 29, 2008. SBI Capital Markets Ltd ("Manager to the Offer") on behalf of HSBC Securities & Capital Markets India Pvt Ltd ("HSCI"), HSBC Violet Investments Mauritius Ltd ("Violet") ("the Acquirers") along with HSBC Investment Bank Holdings BV ("HIBH") (Person acting in concert with HSCI) and The Hongkong and Shanghai Banking Corporation Ltd, Hong Kong ("HBAP") (Person acting in concert with Violet) ("PACs with Acquirers"), has issued this Corrigendum ("Fifth Corrigendum") to the Public Announcement to the equity shareholders of IL&FS Investsmart Ltd ("Target Company"), which is in continuation of & should be read in conjunction with the Public Announcement ("PA") dated May 20, 2008 & the Corrigendum to PA published on June 03, 2008 ("First Corrigendum"), the Corrigendum to PA published on June 10, 2008 ("Second Corrigendum"), the Corrigendum to PA and the Letter of Offer published on July 03, 2008 ("Third Corrigendum"), and the Corrigendum to PA and the Letter of Offer published on August 13, 2008 ("fourth Corrigendum"), in compliance with Regulations 10 and 12 and other applicable provisions of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto (the "SEBI (SAST) Regulations").
The Shareholders of the Target Company are requested to note the following:
The Acquirers / the Target Company & its subsidiaries have received the statutory approvals for acquisition of shares. The Securities & Exchange Board of India (SEBI) vide letter dated August 28, 2008 has advised the Acquirer to pay an interest at the rate of 10% p.a. for delay in payment of consideration beyond fifteen days from the closure of the Offer. Accordingly, the consideration along with the interest for the period August 14, 2008 to September 24, 2008 (both days inclusive) will be dispatched on September 24, 2008 to the shareholders who have validly tendered their shares under the Open Offer & whose shares have been accepted.
The terms not defined herein will have the same meaning as defined in the PA. All other terms & conditions of the Open Offer remain unchanged....
