Swaraj Mazda Ltd has informed BSE that the shareholders at the 24th Annual General Meeting (AGM) of the Company held on July 10, 2008, inter alia, have approved the following:

1. Adoption of the Audited Accounts for the Year ended March 31, 2008 together with the Reports of the Auditors and Directors thereon.

2. Declaration of dividend @ 55% (Rs 5.50 per equity share of the face value of Rs 10/- each) for the year ended on March 31, 2008.

3. Re-appointment of Mr. S K Tuteja, Mr. K Machida and Mr. Harkirat Singh, the directors retiring by rotation as Directors of the Company.

4. Re-appointment of M/s. Price Waterhouse, Chartered Accountants, as Statutory Auditors of the Company to hold the office from the conclusion of this Annual General Meeting until conclusion of the next Annual General Meeting of the Company.
