DSP Merrill Lynch Ltd ("Manager to the Offer") on behalf of Shriram Retail Holdings Pvt Ltd ("SRHPL")("Acquirer") & TPG India Investments ("TPG") & Shriram Enterprise Holdings Pvt Ltd ("SEHPL"), Shriram Capital Ltd ("SCL"), TPG & TPG Asia VLP (TPG Asia) ("Persons Acting in Concerts" or "PACs") (within the meaning of the said term in Regulation 2(1)(e) of SEBI (SAST) Regulations) & in addition to the PACs, Shriram Ownership Trust, Mr. R Thyagarajan & Mr. T Jayaraman who are also signatories to the Share Subscription Agreement ("SSA") but do not hold any shares in the Target Company and are not acquiring any shares in the Offer, shall be regarded as "Person Deemed to be Acting in Concert ("PDAC") with SRHPL & the PACs, has issued this Public Announcement ("PA") to the Shareholders of Shriram City Union Finance Ltd ("Target Company"), pursuant to Regulation 10 of, and in compliance with, the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto ("SEBI (SAST) Regulations").

The Offer:

This Open Offer is being made to acquire up to 10,785,500 Shares ("Offer Shares"),
representing an aggregate of 20% of the Fully Diluted Capital (or 23.5% of the Paid-up Capital) of the Target Company at a price of Rs 400 (Rupees Four Hundred Only) per Share (the "Offer Price"), payable in cash and subject to the terms and conditions mentioned in the PA and in the letter of offer ("Letter of Offer").
