GIVO Ltd has informed BSE that the shareholders at the Annual General Meeting (AGM) of the Company held on September 30, 2008, inter alia, have passed the following resolutions:

1. Received, considered and adopt the Annual Accounts along with Directors and Auditors Report.

2. Re-appointment of Directors Mr. G D Khemani and Mr. Kartar Singh Thakral.

3. Re-appointment of Statutory Auditors, M/s. B S Sawhney & Associates as Statutory Auditors of the Company.

4. Approval of payment made to Whole Time Director Mr. Aninda Mukharji.

5. Reduction of issued, subscribed and paid up Share Capital of the Company.

6. Alteration in Memorandum of Association by Altering the Capital Clause.

7. Alteration in Article of Association.

8. Increase in the remuneration of Whole time Director, Mr. Aninda Mukharji....

With reference to the earlier announcement dated September 02, 2008 regarding Outcome of Board Meeting, GIVO Ltd has now informed BSE that in the said announcement the point No. 2 should be revised by the Company & the same should be read as follows:

- Proposal for reduction of share capital of the Company from Rs 57,69,78,000/- to Rs
17,30,93,400/- divided in to 57697800 equity shares of Rs 3/- each from 57697800 equity shares of Rs 10/- each which is subject to the approval of shareholders / creditors / requisite authority(ies), if any and the sanction of Honble High Court of Punjab & Haryara at Chandigarh....
