Sadbhav Engineering Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 29, 2008, inter alia, has taken the following decisions:

1. Subject to the approval of shareholders in Annual General Meeting, Board of Directors has considered the Sadbhav Employees Stock Option Scheme 2008 (ESOS Scheme 2008).

2. Subject to the approval of lenders of the projects, Board of Directors has decided to transfer the equity investment made by Company in various project specific SPVs, to its subsidiary Sadbhav Infrastructure Project Ltd.

3. Board of Directors has deferred the decision of subdivision of the equity shares of Company....
