Maharashtra Seamless Ltd has informed BSE that the shareholders at the 20th Annual General Meeting (AGM) of the Company held on September 27, 2008, inter alia, have unanimously approved the following:

1. Adopted the Audited Accounts for the year ended March 31, 2008 and the Reports of Directors and Auditors thereon.

2. Declared dividend @ 100% on the equity shares of Rs 5/- each.

3. Re-appointed Mr. U C Agarwal & Mr. D K Parikh as Directors of the Company.

4. Appointed M/s. Kanodia Sanyal & Associates, Chartered Accountants as Auditors of the Company and fixed their remuneration.

5. Amended Clause V - Capital Clause of the Memorandum of Association of the Company.

6. Amended Article 3 - Capital Clause of the Articles Association of the Company.

7. Revised the remuneration of Mr. S P Raj, Whole Time Director of the Company....
