Cadila Healthcare Limited has informed the Exchange that the members of the Company have approved with requisite majority, through postal ballot process, the resolution for alteration of the Memorandum of Association of the Company as set out in the notice, the results of which was announced on December 29, 2008 by the Chairman. Further, the Special Resolution as mentioned in the Notice of Postal Ballot dated November 03, 2008 has been passed with requisite majority. Zydus Pharmaceuticals USA, Inc, USA a Joint Venture Company, wherein Cadila Healthcare Limited was holding 70% stake through its Irish subsidiary Company, has bought back 30% issued shares held by the JV partners. In view of the buy back of shares, Zydus Pharmaceuticals USA, Inc has now become a 100% subsidiary of the Company.
