Ece Industries Limited has informed the Exchange that the Extra Ordinary General Meeting of the Company held on December 19, 2008, transacted the following businesses: (1) Resolution No. 1: Resolution regarding sub-division of Preference Share from nominal value of Rs. 100/- in the Authorized Share Capital of the Company into Ten Preference Shares of Rs. 10/- each was dropped / withdrawn. (2) Resolution No.2: Resolution to increase the Authorized Share Capital of the Company from Rs. 15 Crores to Rs. 21 Crores was dropped / withdrawn. (3) Resolution No. 3: The appointment of Shri P.K. Mohta as Managing Director of the Company for a period of three years with effect from November 01, 2008 and fixation of his remuneration was approved by the members of the Company....

ECE Industries Ltd has informed BSE that the members at the Extra Ordinary General Meeting (EGM) of the Company held on December 19, 2008, inter alia, have accorded to the following:

1. Resolution regarding sub-division of Preference Share from nominal value of Rs 100/- in the Authorized Share Capital of the Company into Ten Preference Shares of Rs 10/- each was dropped / withdrawn.

2. Resolution to increase the Authorized Share Capital of the company from Rs 15 Crores to Rs 21 Crores was dropped / withdrawn.
